Takefuji's Future Management / Organizational Structure and Principle



The Board of Directors has been in discussion to adopt measures in response to the recommendations made by the Compliance Committee. The Compliance Committee's proposals set a new course for the company which the Board intends to follow, on the basis of the fundamental principals set out below. The Board will continue to consider further specific steps for the implementation of this policy.

The Board of Directors pledges itself to relaunch Takefuji Corporation as a firm which not only inherits all the strengths which allowed it to become the leader in its industry, but also has the transparency and corporate governance structures appropriate to a listed company; and to unite all our staff in the task of achieving the goals we have set, and earning the genuine respect and confidence of society as a whole.

1.Shareholding Structure of Takefuji
A revamp of the company's shareholding structure will be carefully considered as stipulated by the Compliance committee, and on the basis of the broad range of opinions and comments received from the public at large, in order to take Takefuji in a direction more appropriate for a public corporation.

2.Board of Directors
The board of directors will be transparent and we shall implement checking mechanism immediately as suggested.
Specific measures to be implemented are as follows:
(a) Structure of the board of directors
Change the number and composition of directors in order to speed up company management and to clarify responsibility.
Additional external directors will be appointed.
(b) Introduction of fully-fledged executive officer system
The executive officer system will segregate the duties and responsibilities of directors from those of executive officers, and enhances smooth execution of business affairs.
(c) Change in the composition of the board
We will aim to revitalise the composition of the board through new appointments which combine qualities of leadership and the management skills to achieve positive results.

3.Changes to the Organization
Focusing on corporate governance and speed of management decisions, the organization will be changed based on the following 4 principles;
<1>Enhancement of the Executive committee function
<2>Segregation of duties and responsibilities between director and executive officer
<3>Introduction of division system to departments other than the Marketing division, where this has already been implemented.
<4>Independence of the compliance control department and reinforcement of the compliance system.

4.Changes to Marketing Framework
Bring together the loan management ( collection) process in a centralised organisation. Consider the establishment of a call center, in order to capitalise on Takefuji's competitive advantage and operational efficiency.

5.Changes to Personnel management
The followings changes will be made to improve employees' motivation level.
<1>Consider the introduction of a qualification/grade system.
<2>Reward good conduct, and punish bad and irresponsible conduct.

6.Establishment of a Social Contribution Department
While we have already been actively contributing to the society, we are committed to providing much more, as our perspective is that Takefuji is "A member of society". We will establish a Social Contribution Department in order to enhance such social contribution activities that are useful to other members of our society.

Specific measures
<1>Establishment of the support system "Takefuji Yume Project"to Non Profit Organizations
  • Offer loan products with low interest rate
  • Provide funds to excellent-rated NPOs
  • Promote volunteer participation by employees for these type of activities
<2>Under consideration to issue credit cards that contribute to society
<3>Promotion of sports activities to youths
Convene a sport school held by Takefuji Bamboo (Takefuji's volleyball team).
